### **Ephraima Terms of Service**

Welcome to Ephraima! These Terms of Service ("Terms") govern your use of the Ephraima mobile application (the "App") and its services. By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Ephraima.

### **5. Prohibited Uses**

|
|

You agree not to use the App for any unlawful purpose or any purpose prohibited by this section. You may not:

* Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party's use of the App.
|
|
* Attempt to gain unauthorized access to any parts of the App, other users' accounts, or computer systems or networks connected to our servers.
|
|
* Use any automated means (e.g., bots, spiders, or scripts) to access, collect data from, or otherwise interact with the App.
|
|
* Interfere with or disrupt the integrity or performance of the App or the data contained therein.

### **6. Termination**

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App and contact us to request data deletion as described in our Privacy Policy.

### **7. Disclaimer of Warranty**

The App is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the App is at your sole risk. We make no warranties or representations about the accuracy or completeness of the App's content or the content of any sites linked to the App.

To the fullest extent permitted by law, Ephraima disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Ephraima, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

* (i) your access to or use of or inability to access or use the App;
|
|
* (ii) any conduct or content of any third party on the App;
|
|
* (iii) any content obtained from the App; and
|
|
* (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.

### **9. Governing Law**

These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.
